Terms and Conditions

These Terms and Conditions constitute a legally binding agreement between the user (“User”) and the BidYo application (“BidYo”) and govern the use of the BidYo electronic platform, including the mobile application and website, in accordance with the laws and regulations applicable in the Kingdom of Saudi Arabia.

Article (1): Definitions

• Platform: The BidYo platform for auctions and e-commerce.
• User: Any natural or legal person using the Platform.
• Subscription: Fees that enable the User to participate in auctions.
• Auction: An electronic competitive process for products provided by the Platform.

Article (2): Platform Business Model

BidYo operates under a subscription-based auction model whereby:

• All products are provided directly by BidYo without third-party intervention.
• The subscription grants the User the right to participate in auctions.
• No additional fees are imposed per bid.
• The auction winner is obligated to pay only the final auction price, plus VAT and shipping costs (if applicable).

Article (3): Eligibility and Account Creation

To use the Platform, the User must:

• Be at least 18 years old.
• Have full legal capacity.
• Provide accurate and correct information.
• Bear full responsibility for any activity conducted through their account.

Article (4): Subscriptions

• Subscription fees must be paid in advance to participate in any auction.
• Subscriptions are non-refundable, the user can gift their wallet balance to another user.
• Subscription does not guarantee winning any auction.

Article (5): Auction Rules

• All bids are final and binding.
• Winning an auction creates a legal obligation to pay within the specified payment period.
• Use of automated tools or manipulation is strictly prohibited.
• The Platform reserves the right to cancel any auction in case of suspected violation or technical error.

Article (6): Pricing, Payment, and VAT

• All prices are subject to Value Added Tax (VAT) in accordance with ZATCA regulations.
• Official electronic invoices are issued.
• In case of non-payment, the Platform may cancel the winning bid and transfer it to the next highest bidder.

Article (7): Delivery and Returns

• Shipping operations are handled by the Company.
• Delivery timelines are estimates.
• Auctioned products are non-returnable except in cases of defect or as required by law.

Article (8): Personal Data Protection

The Platform is committed to protecting personal data in accordance with the Saudi Personal Data Protection Law (PDPL). Users may request access, correction, or deletion within legal limits.

Article (9): Intellectual Property

All intellectual, technical, and commercial rights related to the Platform are owned by Afaq Al-Muktashif Company and Skyline Entertainment. Unauthorized copying or use is prohibited.

Article (10): Limitation of Liability

The Platform shall not be liable for indirect damages. Maximum liability shall not exceed the value of subscriptions paid during the previous 12 months.

Article (11): Account Termination

The Platform may suspend or terminate accounts in case of violation. Termination does not affect outstanding financial obligations.

Article (12): Governing Law and Language

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Saudi courts have exclusive jurisdiction.

Governing Language

Arabic shall be the official and legally binding language for the interpretation and enforcement of all Terms and Conditions, policies, and agreements relating to the BidYo Platform. The Platform may provide translated versions in other languages for convenience purposes only. No non-Arabic translation shall be relied upon in the event of any discrepancy or conflict.

Prevailing Arabic Version

In the event of any inconsistency or difference in interpretation between the Arabic version and any translated version, the Arabic version shall prevail and be legally binding.

Legal Sovereignty and Jurisdiction

All contractual relationships and disputes arising out of or relating to the use of the BidYo Platform shall be governed by the laws and regulations of the Kingdom of Saudi Arabia. The courts of the Kingdom of Saudi Arabia shall have exclusive jurisdiction to hear and determine any dispute arising out of or relating to these documents.

No Waiver of Sovereignty

The availability of the Platform in multiple languages or its accessibility by users outside the Kingdom of Saudi Arabia shall not be construed as a waiver of the application of Saudi laws or the jurisdiction of Saudi courts.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain valid and enforceable without being affected.
