Billing and Subscriptions

This page regulates the terms and conditions of subscriptions on the BidYo Platform and clarifies the legal relationship with application stores (Apple App Store and Google Play Store). It forms an integral and complementary part of the general Terms and Conditions for using the Platform.

1. Definition of Subscription

A Subscription is a paid service that enables the User to access and participate in Auctions organized by the BidYo Platform. A Subscription does not, by itself, guarantee winning an Auction or obtaining any product.

2. Types of Subscriptions

BidYo may offer multiple subscription packages that may vary in terms of:

• Subscription duration.
• Number of available Auctions.
• Promotional benefits.

Details of each subscription package are disclosed within the Platform.

3. Subscription Fees

• Subscription fees are charged in advance for participation in Auctions.
• Subscription fees are non-refundable once activated, except in the event of a verified technical error, in which case the fees will be credited to the User's wallet.
• Subscription fees are subject to Value Added Tax (VAT) in accordance with applicable laws.

4. Auto-Renewal

• Auto-renewal may be enabled for certain subscription packages.
• Users will be notified in advance of the renewal amount and renewal date prior to any charge.
• Users may disable auto-renewal through their account settings.

5. Cancellation and Termination of Subscription

• The User may cancel a Subscription for a specific Auction within the permitted time window specified for that Auction.
• Cancellation applies only to the specific Auction Subscription and does not entitle the User to any cash refund.
• The User shall continue to benefit from the Subscription until the end of its applicable term for the subscribed Auction.

6. Suspension or Termination of Subscription

BidYo reserves the right to suspend or terminate a Subscription in the following cases:

• Violation of the Terms and Conditions.
• Suspected misuse or manipulation.
• Compliance with a lawful order or regulatory request.

Such suspension or termination shall not give rise to any obligation to refund fees.

7. Relationship Between Subscriptions and Auctions

• A valid Subscription is a prerequisite for participation in Auctions.
• Auction fees may vary depending on the product offered.
• The winning bidder is obligated to pay only the final Auction price, with no additional bidding fees, except for applicable VAT and shipping fees.

8. Amendments to the Subscription Policy

BidYo reserves the right to amend this Subscription Policy when necessary. Users will be notified of material amendments via the Platform or the User's registered email address.

9. Governing Law and Jurisdiction

This Subscription Policy shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. The courts of the Kingdom of Saudi Arabia shall have exclusive jurisdiction over any dispute arising out of or relating to this Policy.

App Stores Notice

Merged from the standalone App Stores Notice document. The following sections clarify the legal relationship between users of the BidYo Platform and application stores (Apple App Store and Google Play Store).

10. Contracting Parties

The User acknowledges and agrees that:

• (a) the contractual relationship relating to the use of the BidYo Platform exists exclusively between the User and BidYo; and
• (b) Apple Inc., Google LLC, and their respective affiliates are not parties to any contract or transaction concluded through the BidYo Platform.

11. Responsibility for Content and Services

BidYo shall bear sole and full responsibility for:

• the content of the application;
• auctions and products offered;
• subscriptions and payments;
• shipping and customer support.

Application stores shall bear no responsibility in this regard.

12. Payments and Subscriptions via App Stores

Where a Subscription or digital service is purchased through an application store:

• the payment transaction shall be governed by the terms and conditions of the relevant application store;
• application stores shall have no obligation to issue refunds or handle disputes;
• any claims relating to Subscriptions shall be directed exclusively to BidYo.

13. Technical Support and Complaints

The User acknowledges that:

• application stores are not responsible for providing technical support for the Platform; and
• all support services and complaints shall be handled solely by BidYo.

14. Disclaimer of Warranties and Liability

• application stores provide the Platform “as is” and make no express or implied warranties.
• application stores disclaim all warranties related to the Platform;
• any claims or damages arising from use of the Platform shall be the responsibility of BidYo, within the limits permitted by applicable law.

15. Compliance With App Store Requirements

BidYo undertakes to comply with the applicable guidelines and policies of the relevant application stores, without prejudice to the User's statutory rights under the laws of the Kingdom of Saudi Arabia.

16. Third-Party Beneficiaries

Apple and Google, and their respective affiliates, shall be deemed third-party beneficiaries of this Notice and shall have the right to enforce its provisions to the extent applicable to each of them.

17. Governing Law and Jurisdiction

This Notice shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. The courts of the Kingdom of Saudi Arabia shall have exclusive jurisdiction over any dispute arising out of or relating to this Notice.
